PLIPLI LTD – DATA PROCESSING AGREEMENT (DPA)

This Data Processing Agreement (“Agreement”) applies where Plipli Ltd (“Controller”) engages a third party (“Processor”) to process personal data on its behalf.
- DEFINITIONS
- Controller: Plipli Ltd
- Processor: Any third party processing data on behalf of Plipli
- Personal Data: Any information relating to an identifiable individual
- Processing: Any operation performed on personal data
- SCOPE
This Agreement applies where a Processor handles personal data relating to:
- Customers
- Bidders
- Buyers
- Website users
- PROCESSING PURPOSE
The Processor shall only process personal data for:
- Payment processing
- Delivery and logistics
- Platform infrastructure
- Customer communication
- Identity verification
- Analytics and performance
Processing must follow documented instructions from Plipli.
- PROCESSOR OBLIGATIONS
The Processor must:
- Process data lawfully and securely
- Only act on Plipli’s instructions
- Ensure staff are bound by confidentiality
- Implement appropriate security measures
- Not use data for its own purposes
- Notify Plipli of any data breach immediately
- DATA SECURITY
Processors must implement appropriate safeguards including:

- Monitoring and protection against unauthorised access
- SUB-PROCESSORS
Processors may only appoint sub-processors:
- With prior authorisation from Plipli
- Under equivalent data protection obligations
The Processor remains fully liable for sub-processors.
- DATA SUBJECT RIGHTS
The Processor must assist Plipli in responding to:
- Access requests
- Deletion requests
- Data corrections
- Objections or restrictions
- DATA BREACHES
In the event of a breach, the Processor must:
- Notify Plipli without delay
- Provide full details of the breach
- Assist in mitigation and reporting
- DATA RETENTION & DELETION
At the end of the agreement, the Processor must:
- Delete all personal data, or
- Return it to Plipli
Unless legally required to retain it.
- INTERNATIONAL TRANSFERS
If data is transferred outside the UK:
- Appropriate safeguards must be in place
- UK GDPR requirements must be met
- LIABILITY
The Processor is liable for:
- Breaches of this Agreement
- Failure to comply with data protection laws
- GOVERNING LAW
This Agreement is governed by English law.
